Overclocking could make the processor overheat. That's the main concern with it that's why before we got all these low-power CPUs, extreme overclockers had to use a bunch of fans or liquid-cooling to prevent components from overheating.
As for the PSP, is there even an app that will let you clock it to higher than 333 MHz? Heck, battery life is bad enough as it is (default 222 MHz). How much more so if you overclock it?
