This has worked for me twice, hopefully it will be of help to you.

Format the MS in your PSP, or a friends PSP - doesn't matter, just as long as it gets formatted.

Then format the MS again, but in Windows - (MY computer-->Right click your MS-->Select Format-->Then Start). Once that completes, Open Your Command Prompt (in XP), go to the directory where you have mpsformat (for example, if mpsformat is in C:\ then when Command Prompt comes up type "cd C:\" and press Enter. DO NOT include the quotation marks.

Refer back to My Computer, and write down whatever drive letter your PSP MS shows up as (example - E:\ F:\ G:\ etc, I will use F for the remainder of this post because that's my MS drive) and type mspformat, then the drive letter of your MS (example - mpsformat F) and press enter. It will say "all data will be lost, do you want to continue?" Press Y for yes and hit Enter.

Now you can perform the steps outlined in the first post for creating the Magic MemStick -

Stay in the Command Prompt, and if you've followed the guide in the first post, the Command Prompt is allready at the C:\ directory. All you have to do now, since you've just formatted your MS, is type "msinst F msipl.bin" (NO quotation marks) and press enter. A big list will come up, and at the end it will say "Are you sure?" and I promise, you are . Just press Y and hit enter. The it will display "WRITE MS BOOT CODE". Mission accomplished, your MS is ready.

Here are a couple pics to show what you should see -
